Submission of Matters to a Vote of Security Holders.

A special meeting (the “Special Meeting”) of the stockholders of AmTrust Financial Services, Inc. (“AmTrust” or the “Company”) was convened at 10:00 a.m., local time, on June 4, 2018 to vote on the adoption of the Agreement and Plan of Merger, dated as of March 1, 2018 (as amended, supplemented or otherwise modified from time to time, the “Merger Agreement”), by and among the Company, Evergreen Parent, L.P. (“Parent”), a Delaware limited partnership, and Evergreen Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of Parent (“Merger Sub”). Since there were insufficient votes at the time of the Special Meeting to adopt the Merger Agreement, a proposal was submitted to stockholders to adjourn the Special Meeting before taking a vote on the Merger Agreement. The adjournment proposal is described in more detail in the definitive proxy statement dated May 4, 2018, filed by AmTrust on May 4, 2018.

AmTrust stockholders adopted the adjournment proposal. Accordingly, the Special Meeting was adjourned to 10:00 a.m., local time, on Thursday, June 21, 2018, at the Company’s offices at 59 Maiden Lane, New York, New York, 10038. The Company’s stockholders of record as of the close of business on April 5, 2018 will continue to be entitled to vote at the Special Meeting on June 21, 2018.
 
Item 8.01    Other Events.

In its Current Report on Form 8-K filed on June 7, 2018 and in a press release issued the same day, the Company reported that on June 6, 2018, the Company, Parent and Merger Sub entered into Amendment No. 1 to the Merger Agreement to, among other things, increase the Merger Consideration, as defined in the Merger Agreement, from $13.50 per share in cash, without interest and less any required withholding taxes, to $14.75 per share in cash, without interest and less any required withholding taxes.
